Iran's Ministry of Sport and Youth completely exited the shareholder register of Esteghlal Cultural and Sports Club (ticker ESLP), according to Tehran Stock Exchange records dated Wednesday, September 2, 2026 (11 Shahrivar 1405). A 3.1 percent stake, equal to 334,525,650 shares, that Iran's Privatization Organization had announced for sale a month earlier, landed the same day in the register under the name Persian Gulf Capital Pioneers Financial Group Co.

At the same time, Esteghlal's closing price on Farabourse's orange base market tier reached 1,270 rials, its highest level since January 7, 2026 (17 Dey 1404), and its fifth consecutive higher close.

Background

Iran's Privatization Organization announced in an official notice on Tuesday, August 4, 2026 (13 Mordad 1405) that it would sell 334,525,650 shares of Esteghlal, equal to 3.1 percent of the company, through Iran Farabourse at a base value of about 339.29 billion rials, alongside stakes in Foolad Makran and Foolad Meybod. The sale followed the "selection of strategic buyers and verification of managerial competence" directive, meaning the highest bid alone was not sufficient.

Around the same time, Esteghlal had published a notice for an extraordinary ordinary general meeting to elect new board members, set for 14:00 on Tuesday, September 1, 2026 (10 Shahrivar 1405). Per a cancellation notice filed on Codal, that meeting did not take place as scheduled, and the board election was deferred to a later meeting. That meeting is now set for 14:00 on Sunday, September 13, 2026 (22 Shahrivar 1405), at the Persian Gulf Petrochemical amphitheater in Tehran, with board elections as the sole agenda item.

One day before this ownership change, a Sahmino report published Thursday, September 3, 2026 (12 Shahrivar 1405), citing Boursenews, showed Esteghlal's stock still trading about 70 percent below its historic peak of 410 tomans from September 2022 (Shahrivar 1401), with the club's financial statements showing 922 billion tomans in accumulated losses and no cash dividend paid to shareholders in recent years.

The Numbers

According to the Tehran Stock Exchange's shareholder register (tsetmc.com):

  • The Ministry of Sport and Youth's stake fell from 3.545 percent on August 23, 2026 (1 Shahrivar 1405) to zero on September 2, 2026 (11 Shahrivar 1405), a 3.545 percentage point drop and a full exit.
  • Persian Gulf Capital Pioneers Financial Group entered the register the same day (September 2) with 3.1 percent (334,525,650 shares), a figure that exactly matches the block size the Privatization Organization had announced for sale a month earlier.
  • Of the 88.1 percent of Esteghlal's shares named in the register as of September 2, 2026, four Persian Gulf Petrochemical group subsidiaries, Boali Sina, Shahid Tondgooyan, Pars and Bandar Imam, each hold 20 percent (80 percent combined), and Persian Gulf Petrochemical Industries Co. itself holds 5 percent. Together with the new 3.1 percent holder, 88.1 percent of Esteghlal's registered shares now sit with entities carrying the "Persian Gulf" name or branding.
  • Esteghlal's closing price on September 2 (11 Shahrivar) reached 1,270 rials (127 tomans), its highest close since January 7, 2026 (17 Dey 1404), and its fifth consecutive higher close (August 26 to September 2). The stock's market capitalization that day was about 1,370 billion tomans, its P/E ratio 13.8, and its trailing twelve month EPS 92 rials.
  • The stock nonetheless remains about 70 percent below its September 2022 peak of 410 tomans; it would need to rise about 240 percent further to reclaim that level.

Drivers

What showed up in the shareholder register this week is the settlement of the exact block the Privatization Organization announced on August 4: the new holder's stake, 334,525,650 shares (3.1 percent), matches the official notice precisely, indicating the announced sale was completed in the interim. Esteghlal was previously held mainly by four Persian Gulf Petrochemical group subsidiaries (Boali Sina, Shahid Tondgooyan, Pars and Bandar Imam, 20 percent each) and Persian Gulf Petrochemical Industries Co. itself (5 percent); the Ministry of Sport's 3.545 percent stake was the last major state-held position in the club's shareholder register, and it has now been divested.

The change lands just ahead of the assembly that must elect Esteghlal's new board, a meeting that was canceled once (September 1) and rescheduled to September 13. The new meeting's venue is the Persian Gulf Petrochemical amphitheater in Tehran. In the shareholder register, Sahmino could not trace an ownership chain linking the new entrant, Persian Gulf Capital Pioneers Financial Group, to any of the four petrochemical subsidiaries or to Persian Gulf Petrochemical Industries Co. itself; the available data does not confirm a formal ownership link between the new holder and the Persian Gulf Petrochemical group, even though the name and the assembly's venue both reference the same brand.

The stock's price reaction, on the thinly traded, narrower-band base market tier, coincided with the news: from August 26 to September 2, the stock closed higher for five consecutive sessions, reaching its highest level in eight months.

Outlook

Based on Sahmino's own recorded data, two things are worth watching through the September 13 assembly: first, whether the new shareholder structure, which now holds 88.1 percent of the registered shares, remains unchanged through the meeting or faces a further shift; second, whether the stock's rally, which has pushed it to its highest level since January 7, continues in this thinly traded, volatile base-market ticker. Both readings are Sahmino's own interpretation of the available data, not a forecast or trading recommendation.

Bottom Line

The government, through the Ministry of Sport and Youth, divested its remaining stake in Esteghlal Football Club exactly as the Privatization Organization had announced a month earlier, and fully exited the club's shareholder register; the same day, the stock's price hit its highest level since January 7. The timing is what matters here: the settlement landed just before an assembly that must elect Esteghlal's new board under a shareholder base now concentrated almost entirely around the "Persian Gulf" brand. Sahmino expects Esteghlal's share price to hold above 1,200 rials through the September 13 assembly; that reading would be invalidated by a close below 1,150 rials before that date.

What to Watch

  • The outcome of the September 13, 2026 (22 Shahrivar 1405) extraordinary general meeting and the composition of the new board.
  • Whether other state-linked or quasi-state shareholders also exit Esteghlal's register.
  • Whether the stock's rally on Farabourse's base market continues or stalls.
