Background: what kind of company is Vomahan?

Mehr Ayandegan Financial Group was founded in 1995 (1374 in the Iranian calendar) under the original name "Ayandenegar Investment," and listed on the Farabourse under the ticker Vomahan in 2019 (1398). Its business is buying and managing the shares and financial assets of other companies, not producing a specific physical product.

A key structural point: Vomahan's major shareholder is the Oil Industry Pension Fund (through Ahdaf Investment Company), which holds roughly 78.7 percent of the shares on a consolidated basis. In other words, the free float that actually changes hands in the market is limited, and major decisions rest mainly with the controlling shareholder.

Vomahan's portfolio is diversified and has two parts. The listed portfolio includes shares of large market names such as Ghadir Investment, Golgohar, Isfahan Oil Refining, National Iranian Copper (NICICO), and Fars and Khuzestan Cement. The unlisted portfolio and subsidiaries include companies such as Sepehr Investment Bank, Ayandegan Oil Industry Leasing, and a brokerage, plus stakes in firms such as Vasakht.

The rules of the holding game: NAV and the P/NAV ratio

This is the most important part of the analysis. For an investment company, "operating profit" or "profit margin" does not tell the full story, because the firm's main asset is the shares of other companies. Two key concepts:

• NAV (net asset value): if all of the company's assets, both the listed and unlisted portfolios, were sold at today's prices and liabilities were subtracted, how much would be left per share. This is the approximate "intrinsic value" of a holding.
• P/NAV (price to NAV): the ratio of the market price to NAV per share. If this figure is below 100 percent, the stock trades at a discount to the value of its assets.

• Capital increase in progress: Vomahan is moving from 10,000 billion rials of capital to a far higher level. This is why the share count and market cap are reported differently across sources; whenever you see a "market cap" or "earnings per share" figure, check which share count it rests on.
• Limited free float: with the Oil Industry Pension Fund holding about 78.7 percent, dividend policy and capital increases sit mainly with the controlling shareholder, and the free float is thin.
• A mirror of the whole market: because Vomahan's assets are a basket of large market stocks, its value effectively reflects the state of the entire bourse; NAV rises in a market rally and falls in a selloff.
• An active portfolio: Vomahan regularly reshuffles its portfolio.
