In compliance with Article 13 of the Instruction on Disclosure of Information by Issuers Registered with the Organization, it is hereby announced that, pursuant to the minutes of the extraordinary general meeting dated 1405/04/31 and the notice of the Tehran Registrar of Companies and Non-Commercial Institutions, Tadbir Sazeh Tamin Company (Private Joint Stock), with national ID 10102036156 and registration number 160969, was merged into and dissolved into Iran Sazeh Company (Private Joint Stock), with national ID 10101233963 and registration number 78552. According to the contents of the official gazette notice of Iran Sazeh Company, all properties, assets, receivables, debts, obligations and shareholders' rights of Tadbir Sazeh Tamin Company were transferred to Iran Sazeh Company at book value. As a result of the merger, the capital of Tadbir Sazeh Tamin Company, amounting to 3,099,999,999,000 rial, was consolidated with the capital of Iran Sazeh Company, and following the merger, the capital of Iran Sazeh Company increased to 9,999,999,989,000 rial. It is worth noting that Tamin Cement Investment Company holds 100 percent ownership of the aforementioned companies.
